Vendor Compliance Acknowledgment

The Vendor listed below has received and understands the requirements, guidelines, terms, and conditions set forth in the Vendor Compliance Manual, Merchandise Standard Purchase Order Terms and Conditions), and Vendor Code of Conduct of JD Finish Line, Inc. d/b/a JD Finish Line and JD Sports (collectively, the “JD Finish Line Terms”).

The undersigned has the full right and authority to sign this Acknowledgment on behalf of the Vendor. This Acknowledgment, as signed, constitutes a legal, valid and binding acknowledgment, representation and agreement by Vendor, to the JD Finish Line Terms, enforceable against Vendor in accordance with the JD Finish Line Terms (subject only to an express written agreement modifying the JD Finish Line Terms by and between JD Finish Line and Vendor executed by each party’s duly authorized representative as described in the Merchandise Standard Purchase Order Terms and Conditions).

Without limiting any of the JD Finish Line Terms, and subject to any modifications of the JD Finish Line Terms as described above, Vendor expressly understands that a chargeback described in the Vendor Compliance Manual may apply if Vendor is not fully compliant with the Manual.
